Terms of Service

1. Acceptance of terms
By creating an account or using Utilable, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. These terms apply regardless of how you access or use the service, including via web browser or any integrated third-party sign-in.
2. Eligibility
You must be at least 13 years old to use Utilable. By using the platform, you confirm that you meet this age requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these terms on your behalf. We do not knowingly collect personal information from children under 13 — if we become aware of such collection, we will delete the account promptly.
3. Account responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate and complete information when creating your account and keep it up to date. If you sign in using Google, you are also subject to Google's Terms of Service — the same account responsibilities apply whether you use email/password or Google Sign-In. You must notify us immediately at legal@utilable.com if you suspect unauthorized access to your account.
4. Subscriptions and billing
Plans are billed monthly. Upgrades take effect immediately and you are charged the prorated difference. Downgrades take effect at the end of your current billing period. Cancellations stop your subscription at the end of the current period — no refunds are issued for remaining days. All payments are processed through Paddle. We reserve the right to change pricing with at least 30 days' notice, communicated via email or in-platform notification.
5. Acceptable use
You agree not to misuse the platform — this includes attempting to bypass usage limits, reverse engineering the service, using the platform for illegal purposes, or interfering with other users' access to the service. You may not use automated scripts or bots to access the platform without our prior written consent. You may not impersonate another person or entity, or use the platform to distribute malware, spam, or harmful content.
6. Intellectual property
The Utilable platform, including its code, design, and branding, is owned by us and protected by applicable intellectual property laws. You retain ownership of any content you create or upload using the tools on the platform. By using the platform, you grant us a limited, non-exclusive license to store and process your content solely to provide the service to you.
7. Third-party services
Utilable integrates with third-party services including Paddle (payment processing) and Google (sign-in). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the practices of any third-party services linked to or integrated with the platform.
8. Service availability
We strive to keep Utilable available at all times but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily limits access. We reserve the right to modify, suspend, or discontinue any part of the platform with reasonable notice where possible.
9. Termination and suspension
We reserve the right to suspend or terminate your account at any time if you violate these terms, engage in fraudulent activity, or otherwise misuse the platform. You may delete your account at any time from your account settings. Upon termination, your right to access the platform ceases immediately. Sections relating to intellectual property, limitation of liability, and dispute resolution survive termination.
10. Limitation of liability
Utilable is provided on an as-is basis without warranties of any kind, either express or implied. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including loss of data, profits, or business interruption, to the fullest extent permitted by law. Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Utilable and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the platform, your violation of these terms, or your infringement of any third-party rights.
12. Governing law
These terms are governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of the platform will be resolved through good-faith negotiation first. If unresolved, disputes will be submitted to binding arbitration or the courts of competent jurisdiction.
13. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you by email or through the platform at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance of the revised terms.
